On March 6, 2023, the Corporate Law Center held its annual Albert A. DeStefano Lecture on Corporate, Securities and Financial Law. This year, the Honorable Kathaleen McCormick, Chancellor of the Delaware Court of Chancery, was the guest lecturer. Chancellor McCormick not only delivered a fascinating lecture on current developments in corporate officer oversight, but also spent time with our students throughout the day. She discussed her path to the bench over lunch with students, and later joined Professor Griffith's Advanced Business Seminar to give a presentation on the work of the Chancery Court.
Chancellor McCormick's lecture focused on the decision in In re McDonald's Stockholder Derivative Litigation, No. 2021-0324-JTL, 2023 WL 387292 (Del. Ch. Jan. 26, 2023), which was recently decided by the Delaware Court of Chancery. In re McDonald's extended the fiduciary duties of oversight, which already apply to boards of directors, to corporate officers. Chancellor McCormick discussed the backdrop of oversight obligations generally before moving on to the recent development that In re McDonald's has ushered in. She also explained how demand futility creates a heightened procedural hurdle for plaintiffs seeking to plead a failure of oversight claim.
Chancellor McCormick joined the lectures' attendees at a reception following her remarks. In attendance were DeStefano family members Paul, James, and Katherine DeStefano, as well as Dean Diller, other faculty, students and alumni. We thank Chancellor McCormick for lending her time, energy, and invaluable legal insights to the Fordham community.

On June 2, the Scott Simpson Cross-Border Institute at Fordham Law in partnership with Skadden, Arps, Meagher & Flom LLP co-hosted a compelling conference entitled Cross-Border Deal Dynamics During Trump's Second Term. After welcome remarks by Dean Landau, Ashby Jones, deputy economics editor of The Wall Street Journal, delivered the keynote address and moderated the panel discussion, which featured Skadden partners Michael Leiter, Loren Ponds, and David Wales. The panelists discussed varying aspects of cross-border transactions during Trump's second term. A reception was held after the conference during which panelists and guests continued the conversation.

Vice Chancellor J. Travis Laster delivered the 22nd Annual Albert A. DeStefano Lecture at Fordham on Wednesday, March 26, 2025. A packed Costantino listened intently while Vice Chancellor Laster discussed the definition of "control" across varying areas of state and federal law, and posited the significance of that consensus for Delaware law. After his remarks, Professor Richard Squire sat down with Vice Chancellor Laster to ask some follow up questions and take comments from the audience. The conversation continued at a lively reception after the event.
The EU Business Law Conference

On April 11, 2025, scholars and practitioners from across Europe and America came together to discuss the most pressing topics in business law today. Four expert panels and a keynote address considered an array of subjects, from corporate conflicts to M&A. The conference was co-sponsored by ICADE of Comillas Pontifical University in Madrid.
2nd Annual M&A Workshop
January 24, 2025
Another strong turnout of Fordham Law students attended the second annual M&A Bootcamp hosted by the Corporate Law Center and the Scott Simpson Cross-Border Institute. The day-long, hands-on workshop was led by M&A attorneys from Skadden on Friday, January 24th. Students learned about the exciting and complex world of mergers and acquisitions law and participated in simulated NDA and M&A term sheet negotiations throughout the workshop. Both students and Skadden attorneys mingled at a reception afterward to network and celebrate the hard work put forth throughout the day.

Sommer, Jr. Lecture on Corporate, Securities, and Financial Law was held on October 9th at Fordham University School of Law. U.S. Securities and Exchange Commission Commissioner Mark Uyeda spoke to our audience about how he views the role of the SEC, his perspective on recent enforcement developments, and building consensus with an eye toward fairness. Dean Joseph Landau delivered welcome remarks, Ben Indek honored Al Sommer and his family, and then Ivan Harris interviewed Commission Uyeda. Guests continued the conversation at a reception held after the event.
The Investor Generation Forum: Expanding Access to the Stock Market through Financial Education and Emerging Technology

On October 17th, the Corporate Law Center partnered with the Center for Retail Investors and Corporate Inclusion to convene the Investor Generation Forum. Dean Landau gave welcome remarks, followed by a keynote address by Bob Stebbins, Wilkie partner and former SEC General Counsel. The first panel included Richard Squire, Christina Sautter, and Lucas Moscowitz who discussed breaking down barriers to retail investing through technology and financial education. The second panel included Jill Fisch, Sergio Gramitto Ricci, and Sarah Haan who discussed going beyond proposals, meetings, and voting in shareholder participation. A lively audience Q&A was followed by a reception for all guests.

The Corporate Law Center, in collaboration with the Gabelli School of Business O’Shea Center for Credit Analysis and Investment, hosted a fascinating discussion with Anthony Scaramucci. In a fireside chat moderated by Professor Richard Squire and Silver Point Capital Partner Michael Gatto, the audience was treated to a frank and open discussion about Anthony's career and leadership journey, mistakes, what he has learned, and what is next for him, including his thoughts on Bitcoin and other digital currencies, the SEC and politics.

The Scott Simpson Cross-Border Institute at Fordham Law hosted a spectacular conference on June 4. Robert Posner delivered an inspiring keynote address on global elections and their impact on the deal market. Experts Jerry H. Goldfeder, Rumela Sen, and Siôn Simon discussed the 2024 elections in the U.S., India, and the U.K. in a panel led by Professor Richard Squire. In a year where more than 40% of the world's population will head to the polls in general elections across the globe, the stakes for the democratic process have never been higher.
Musk, Delaware Judges, and the Future of American Corporate Law

It was standing-room only for the Corporate Law Center's presentation on Musk, Delaware Judges, and the Future of American Corporate Law on April 8, 2024. Fordham Law Professors Richard Squire and Sean Griffith discussed the recent Delaware Chancery Court decision in Tornetta v. Musk, which rescinded Elon Musk's $55 billion compensation package at Tesla. Their presentations attempted to answer the burning question: can one man change the course of American corporate law as we know it? The presentations touched on everything from Musk's unusual business practices to the perceived politicization of the Delaware judiciary. Attendees participated in a lively question and answer session, and the conversations continued at a reception held after the event.
21st Annual Albert A. DeStefano Lecture

The 21st Annual Albert A. DeStefano Lecture on Corporate, Securities & Financial Law welcomed former Chief Justice of the Delaware Supreme Court, former Chancellor of the Delaware Court of Chancery, and current Of Counsel at Wachtell, Lipton, Rosen & Katz, Leo E. Strine, Jr. on February 27, 2024. Justice Strine delivered a lecture entitled "Minutes are Worth the Minutes," which focused on the importance of good board documentation practices. After his remarks, Justice Strine joined Professor Richard Squire in a discussion about seminal corporate law rulings and how careful board minuting practices may have affected their outcomes. After a lively Q&A session with the audience, guests joined Justice Strine for a reception.
